Terms and Conditions for Sellers
This page (together with the documents referred to on it) supplement and tells you the terms and conditions which you agree to when participating in a tidyTransaction through our site, as a either a tidyBuyer or a tidySeller.
Where any conflict between the terms of use and these terms, these terms will take precedence to the extent necessary to resolve any conflict.

YOUR STATUS AND ELIGIBILITY REQUIREMENTS
To be eligible to register with our site and thereby participate in a tidyTransaction, as a tidySeller, you warrant that:
you are legally capable of entering into binding contracts;
you are at least 16 years of age; and that
you are resident in the United Kingdom and you are accessing our site from the United Kingdom.
You acknowledge and agree that your application to register is subject to the above and we reserve the right to reject any application for membership with our site in our reasonable discretion without giving reasons.
As a tidySeller, you warrant that:
you are the unencumbered owner of any goods offered through a tidyTransaction; and that you have the right to offer such good and/or services.

How a Tidytransaction works
Through our site we offer a web-based platform as a venue where buyers ("tidyBuyers") of business goods, products and services ("tidyProducts") are introduced and matched with sellers ("tidySellers") for those products, with each match being referred to as a "tidyTransaction".
Following registration, a tidyBuyer will complete a request for quotation on a business product. This information will be used to search our database of tidySellers to find a number of suitable suppliers who will be invited to participate in a tidyTransaction.
The tidyBuyer will then short-list the tidySellers to at least three tidySellers after which we will facilitate the exchange of the contact details of these tidySellers with the tidyBuyer. Once the tidySeller is matched (shortlisted) the seller will receive an invoice for a "match fee". The tidySeller is required to settle the invoice as soon as reasonably possible to allow the tidyTransaction to continue without delay.
The tidyBuyer will negotiate directly with the tidySellers and once the final negotiations have taken place the tidyBuyer will through our site award the sale to a specific tidySeller.
Once the award has been made the tidySeller will receive an invoice for commission based on the price that was originally quoted. The invoice is payable no later than 30 days from the date of receipt by the tidySeller of such invoice.

GENERAL TERMS
By registering with our site and where relevant, either as a tidyBuyer or tidySeller (or both), you acknowledge and agree that:
we are not in any way the owner of the tidyProducts offered through our site;
we do not have control over the tidyProducts and make no representations or warranties as to the validity of the descriptions of the tidyProducts, the suitability, quality or otherwise of the same;
we are not responsible for the actions of any of the participants to a tidyTransaction and you participate in a tidyTransaction at your own risk; and that
it is for the participants to a tidyTransaction to reach an appropriate agreement (in respect of settlement, method of payment, delivery etc) as soon as possible within 3 days of when the tidyBuyer has awarded the sale to a tidySeller.
We reserve the right to substitute a tidySeller participating in a tidyTransaction with alternative at any time during the tidyTransaction process and specifically if the Match Fee remains unpaid after we have issued a request for payment.

TidySellers
In relation to the match fee set out in clause 6.1 below, a tidySeller's details will only be released to the relevant tidyBuyer once the tidySeller has paid the match fee to us. The tidybuyer will be entitled to substitute the bid at any point whilst the match fee remains unpaid by the tidySeller.
The tidySeller will at all times assume a position of integrity and honesty with reference to communication carried out with a tidybuyer.
In the event that a sale is not completed following the award of a sale through our site, the relevant tidySeller is required immediately to;
notify the tidyBuyer of the decision at the earliest opportunity; and
the tidySeller is required to submit a request for a credit note any invoice raised by us against the tidySeller for commission. The submitted request for a credit note must be received within 21 days of the invoice date and in writing at accounts@tidybuyer.com

OUR FEES
Our fees consist of a match fee and a commission at a pre-agreed rate on a successful tidyTransaction or an alternative subscription fee can be offered.
Match Fee
Once a tidyBuyer has short-listed three prospective tidySellers, the prospective tidySellers are charged a non refundable match fee.
Commission
Commission at a pre-agreed rate is only charged to the tidySeller when a tidybuyer awards them a sale. The quoted net price is charged and billed at the pre-agreed scalable rate.
A tidyTransaction is deemed to be successful upon the award of the quotation by a tidyBuyer and the quote will move to Red on our system.
A tidySeller has a period of 21 days from the date of the invoice to dispute the payment of commission. The dispute must be in writing and sent to accounts@tidybuyer.com all disputes to include full reference details and full legible description of grievance.
Subscription – Subscription Plus
A subscription fee will be payable by a tidySeller upon registration with our site and a tidySeller will receive access to our site and be allowed to participate in a tidyTransaction once the subscription fee has been received and cleared within our system.
There is no subscription fee for a tidyBuyer.
Notice to terminate a subscription must be in writing and sent to accounts@tidybuyer.com. All notices received will be date receipted.
We reserve the right to review our fees at any stage. Any adjustment in fees will only occur after having provided 30 days' notice.
