Terms and Conditions for tidyBuyers

 

This page tells you the terms and conditions which you agree to when participating in a tidyTransaction through our site, as a either a tidyBuyer or a tidySeller.

 

Where any conflict between the terms of use and these terms, these terms will take precedence to the extent necessary to resolve any conflict.

 

 

YOUR STATUS AND ELIGIBILITY REQUIREMENTS

To be eligible to register with our site and thereby participate in a tidyTransaction, as a tidyBuyer , you warrant that:

 

you are legally capable of entering into binding contracts;

you are at least 16 years of age; and that you are resident in the United Kingdom and you are accessing our site from the United Kingdom.

 

 

You acknowledge and agree that your application to register is subject to the above and we reserve the right to reject any application for membership with our site in our reasonable discretion without giving reasons.

 

 

How a Tidytransaction works

 

Through our site we offer a web-based platform as a venue where buyers ("tidyBuyers") of business goods, products and services ("tidyProducts") are introduced and matched with sellers ("tidySellers") for those products, with each match being referred to as a "tidyTransaction".

 

Following registration, a tidyBuyer will complete a request for quotation on a business product. This information will be used to search our database of tidySellers to find a number of suitable suppliers who will be invited to participate in a tidyTransaction.

 

The tidyBuyer will then short-list the tidySellers to at least three tidySellers after which we will facilitate the exchange of the contact details of these tidySellers with the tidyBuyer. Once the tidySeller is matched (shortlisted) the seller will receive an invoice for a "match fee". The tidySeller is required to settle the invoice as soon as reasonably possible to allow the tidyTransaction to continue without delay.

 

The tidyBuyer will negotiate directly with the tidySellers and once the final negotiations have taken place the tidyBuyer will through our site award the sale to a specific tidySeller.

 

Once the award has been made the tidySeller will receive an invoice for commission based on the price that was originally quoted. The invoice is payable no later than 30 days from the date of receipt by the tidySeller of such invoice.

 

 

GENERAL TERMS

 

By registering with our site and where relevant, either as a tidyBuyer or tidySeller (or both), you acknowledge and agree that:

 

we are not in any way the owner of the tidyProducts offered through our site;

we do not have control over the tidyProducts and make no representations or warranties as to the validity of the descriptions of the tidyProducts, the suitability, quality or otherwise of the same;

 

we are not responsible for the actions of any of the participants to a tidyTransaction and you participate in a tidyTransaction at your own risk; and that

it is for the participants to a tidyTransaction to reach an appropriate agreement (in respect of settlement, method of payment, delivery etc) as soon as possible within 3 days of when the tidyBuyer has awarded the sale to a tidySeller.

 

We reserve the right to substitute a tidySeller participating in a tidyTransaction with alternative at any time during the tidyTransaction process and specifically if the Match Fee remains unpaid after we have issued a request for payment.

 

 

TIDYBUYERs

 

tidyBuyers will be proactive throughout a tidyTransaction in that they will as soon as reasonably possible advise the other participants to a tidyTransaction whether or not they have been successful. We reserve the right to suspend a tidyBuyer's account where there appears to be an undue delay in awarding of the sale to a tidySeller.

 

A tidyBuyer will be required to short list a minimum of three quotations per tidyTransaction.

 

A tidyBuyer will be required to end activity on a tidyTransaction by either awarding a sale, or rejecting all quotations and where a decision to reject is made, provide a reason for this decision. This action will end the tidyTranction process for that particular quotation request.

 

The tidyBuyer will at all times assume a position of integrity and honesty with reference to communication carried out with us and the tidySeller.

When a sale has been awarded to a tidySeller and classified as RED on the tidySystem and a decision is made not to complete the sale for any reason, this must be registered with by making use of the traffic light system set out on our site.

 

In the event that a sale is not completed following the award of a sale through our site, the relevant tidyBuyer is required to:

 

notify the relevant tidySeller of the decision at the earliest opportunity; and

substitute the rejected bid with an additional quotation; or

end the tidyTransaction process by rejecting all quotes while providing a reason for the decision.
